Using our website

These terms apply to anyone using structurell.com. Our Terms of Business, below, apply when you buy from us.

Information, not advice. Our articles, case studies and tools give general information. Our calculators and assessments work only from the figures and answers you enter, and they can't inspect your systems. Take advice on your own situation before relying on them for a decision. We aren't liable for loss caused by relying on them, except where the law doesn't let us exclude that liability.

Our content. We own the content of this website, or use it with permission. You may view it, print it and share it for your own information, as long as you credit us and link back. You may not republish it or use it commercially without our written permission. Structurell is a registered UK trade mark (UK00004353472 and UK00004353641).

Using the site properly. Don't try to gain unauthorised access to the site, introduce malware, overload it, or copy it in bulk with automated tools. Normal search engine indexing is fine.

Links. We aren't responsible for the content of websites we link to.

Availability. We aim to keep the site available and accurate, but we don't promise it will always be available or free of errors, and we may change it at any time.

Law. These terms are governed by the law of England and Wales.

Terms of Business

Developed With Style Limited (trading as Structurell), company no. 10176636, registered office Hyde Park House, Cartwright Street, Hyde, SK14 4EH ("we"). VAT number GB 296 474 257. Version 2.0, 21 October 2026.

1. Who these terms are for. We work only with businesses. These terms apply to every proposal, quote, audit, retainer and Portal subscription we agree with you, and form the contract together with the proposal or order you accept ("Order"). If the Order and these terms conflict, the Order wins. Nothing in your own terms applies unless we agree in writing.

2. The contract. A contract starts when you accept an Order in writing (including email or online sign-up). Quotes are valid for 30 days. Either of us can ask to change the scope in writing. We reply within 5 working days, saying whether we can do it and any change to the fees, and nothing changes until we both agree it in writing.

3. Fees and payment. Fees are as set out in the Order, fixed-price or day-rate. Fees are exclusive of VAT, which we add where applicable. Unless the Order says otherwise, we invoice on the last day of each month for chargeable work done that month, and on the 1st of each month, in advance, for recurring fees such as retainers and Portal subscriptions. Invoices are payable within 30 days. We may charge interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, and suspend work or Portal access if an invoice is more than 14 days overdue after a reminder. You may not withhold or reduce payment because of a claim you have against us, unless the law requires it.

4. Fixed prices, credits and advice. Where the Order gives a fixed price, it covers the scope in the Order, and we start once any payment the Order asks for upfront has been made. Any credit or discount in an Order applies only as the Order states it. It is a deduction from our invoices, not cash, it applies once and it isn't transferable. Reports, audits and recommendations are our professional opinion, based on the access and information you give us, and aren't a guarantee of any outcome.

5. Your responsibilities. You give us timely access, information and decisions, keep backups of your own systems before we work on them unless the Order says we will, and make sure you have the right to give us any data, code or materials you provide.

6. Our responsibilities. We perform the services with reasonable skill and care, using suitably experienced people. We may use subcontractors and remain responsible for them.

7. Intellectual property. You own what you gave us. On payment in full, you own the deliverables we create specifically for you, and we assign that ownership to you. We keep our pre-existing tools, know-how, libraries and Portal, and grant you a non-exclusive licence to use any of them included in a deliverable for as long as you use it. Third-party and open-source components stay under their own licences.

8. Confidentiality. Each of us keeps the other's confidential information confidential and uses it only for the contract. This doesn't cover information that is public or that the law requires us to disclose.

9. Data protection. Where we process personal data on your behalf (including data you hold in Portal or in systems we work on), you are the controller and we are the processor, and our Data Processing Agreement forms part of these terms. Where we handle your staff's details to run our relationship with you, we are the controller and our privacy notice applies.

10. Liability. Nothing limits liability for death or personal injury caused by negligence, fraud, or anything else that can't be limited by law. Subject to that: (a) neither of us is liable for loss of profit, revenue, business, goodwill or data, or for indirect or consequential loss; and (b) each party's total liability under or in connection with each Order is limited to the fees paid and payable under that Order in the 12 months before the claim. You're responsible for backups of your own systems, and our liability for restoring data is limited to using reasonable efforts from the latest backup.

11. Term and termination. Fixed-scope work ends on delivery. Retainers run for the term in the Order and then roll monthly until either of us gives 30 days' written notice. You can cancel a Portal subscription at any time before your next billing date, after any minimum term in the Order, and it ends at the end of the period you've paid for. Either of us may end a contract at once by written notice if the other materially breaches it and doesn't fix the breach within 30 days, or becomes insolvent. On termination you pay for work done up to the date it ends.

12. Force majeure. Neither of us is liable for delay caused by events beyond reasonable control.

13. General. These terms and the Order are the whole agreement. We may update these terms for new Orders. If we change these terms, the change applies to a live Portal subscription after 30 days' notice. No third-party rights. Neither of us will solicit or employ anyone who worked on the other's side of the contract, during it and for 6 months after it ends, without the other's written consent. Notices go by email to the addresses in the Order.

14. Law. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

15. Trade marks. Structurell is a trading name of Developed With Style Limited and a registered UK trade mark (UK00004353472 and UK00004353641). You may not use the Structurell name or logo without our written permission, other than to refer to us accurately.

Schedule 1: Portal subscriptions and apps. We grant you a non-exclusive, non-transferable right for your authorised users to use Portal and our apps for your internal business during the subscription. You're responsible for your users and their credentials. You can upgrade at any time, and the upgrade takes effect, and is charged, from that day. A downgrade takes effect from your next billing date. We aim for high availability, but don't guarantee uninterrupted service, and we may carry out maintenance. We may suspend access for non-payment, a security risk, or breach of the Acceptable Use Policy. We'll tell you why, and restore access once it's resolved. During the 30 days after the subscription ends you can export your data. We then delete it under the Data Processing Agreement. iOS app use is also subject to Apple's standard licensed application end-user licence agreement.

Schedule 2: Acceptable Use Policy. You must not use Portal or our apps to: break the law or anyone's rights; send spam or unlawful marketing; upload malware or try to get around security or access controls; access another customer's data; overload or reverse engineer the service; or store special category data unless we've agreed it in writing. We may remove content or suspend accounts that breach this policy.
